Platform role

MedicalRide.org is operated by Tipmunk SASU, a French société par actions simplifiée unipersonnelle (SASU), share capital €1, registered with the Paris Trade and Companies Register under number 107 697 385, with registered office at 47 rue Vivienne, 75002 Paris, France. MedicalRide.org is the public-facing platform name used for directory listings, structured transportation requests, provider outreach, quote comparison, and related support workflows.

MedicalRide.org is a directory and request platform. It is not the transportation provider, motor carrier, ambulance operator, medical escort provider, health plan, insurer, or medical provider. Independent providers are responsible for determining whether they can lawfully and safely perform a requested trip.

Organization authority and responsibilities

The Organization is responsible for ensuring that its representatives are authorized to use MedicalRide on its behalf and that it has a lawful basis and any required authorization to submit another person's information and request transportation for that person. The Organization must provide accurate information reasonably necessary for the request and must not submit unnecessary clinical records or other unnecessary sensitive information.

The Organization remains responsible for its own clinical, discharge, supervision, and transportation-suitability decisions to the extent those responsibilities apply to it. The transportation provider remains responsible for the transportation services it undertakes. MedicalRide's platform functions do not constitute a clinical assessment or transfer either party's own responsibilities to MedicalRide.

An Organization representative's acceptance binds the Organization only to the extent the representative has authority to do so. It does not by itself bind a patient to a forum-selection clause, waive a patient's claims, or establish authority to surrender a patient's legal rights.

Organization indemnification

To the extent the Organization has legal authority to undertake this obligation and applicable law permits it, the Organization will indemnify Tipmunk SASU against third-party claims, resulting liabilities, damages, and reasonable external legal costs to the extent caused by the Organization's material breach of this agreement, negligent or wrongful acts, or unlawful submission, use, or disclosure of personal information.

This obligation does not cover a claim merely because the Organization requested transportation through MedicalRide. It does not cover the portion of a claim caused by Tipmunk SASU's or a transportation provider's own negligence, misconduct, or breach. Tipmunk SASU will provide reasonably prompt notice of a covered claim, reasonably cooperate at the Organization's expense, and will not enter a settlement for which it seeks indemnification without the Organization's consent, which must not be unreasonably withheld.

This section does not expand the lawful contracting authority of a public body or waive an immunity that may be waived only through a legally prescribed procedure.

BUSINESS GOVERNING LAW AND EXCLUSIVE COURTS

The Organization enters this agreement in its business or professional capacity. This agreement and contractual disputes arising out of or relating to it are governed by French law, subject to mandatory rules that cannot lawfully be excluded.

THE ORGANIZATION AND TIPMUNK SASU AGREE THAT THE COMPETENT COURTS OF PARIS, FRANCE HAVE EXCLUSIVE JURISDICTION OVER DISPUTES BETWEEN THEM ARISING OUT OF OR RELATING TO THIS AGREEMENT, TO THE EXTENT SUCH AN AGREEMENT IS PERMITTED BY APPLICABLE LAW.

This selection does not override a mandatory rule assigning exclusive jurisdiction to another court. Either party may seek a provisional or protective measure from a court authorized to grant it, or recognition or enforcement of a judgment in a competent jurisdiction, without changing the agreed forum for determining the merits. This section does not impose a forum on a passenger or other person who has not validly agreed to it.
